Current board mandates
The Annual General Meeting of Aker Solutions held on 8 April 2010 granted he Board of Directors a power of attorney to purchase own shares with an aggregate nominal value of up to NOK 54 800 000. The power of attorney also includes an agreed pledge of own shares. The highest price that can be paid for the shares shall be NOK 300 and the lowest price that can be paid for the shares shall be NOK 1. Other than this, the Board of Directors shall use its own discretion with respect to how the purchase and sale of own shares are carried out. The power of attorney can also be used in circumstances mentioned in the securities trading act § 6-17. The power of attorney is valid until the Annual General Meeting in 2011, but no later than 30 June 2011.

Share purchase programme for employees
Aker Solutions announced in January 2009 that it would offer some 19 000 of its employees in Norway, the Netherlands, the UK, Chile, Canada and the US1 the opportunity to buy shares in the company at a discount. This discount has been set at NOK 1 500 per employee, and the total amount each employee could spend was NOK 15 000 for the 12 month programme, which started in March 2009. The purchase price per share is equal to the average (volume weighted) price of the Aker Solutions ASA share on the Oslo Stock Exchange on the final trading day before the shares are allocated. Employees who keep their shares until 1 September 2011 and who are continuously employed by Aker Solutions throughout the time they hold their shares, will be entitled to the award of free bonus shares at the rate of one bonus share for every two Aker Solutions ASA shares held under the programme. The share purchase programme will be continued on the same terms in 2010. Approximately 17 200 employees were invited to participate in the continued prgramme in January 2010. 3 759 signed up.
